THIS AGREEMENT ("Agreement"), is made and entered into on or as of the day of , 2012 (the "Effective Date") by and between the City of Dublin, Ohio, a municipal corporation duly organized and validly existing under the Constitution and laws of the State of Ohio and its Charter (the "City") and Dublin Arts Council, a private, non-profit 501(c)(3) corporation duly organized and validly existing under the Constitution and laws of the State of Ohio ("DAC" and, collective with the City, the "Parties" and each a "Party").
