STANDARD TERMS AND CONDITIONS(Professional Services Agreement) 1. SERVICES AND MILESTONES1.1 Dassault Systemes Canada Inc. (“GEOVIA”) GEOVIA agrees to provide the Client with the Services outlined in an agreed statement of work signed (either together or in counterparts) by both parties (“SOW”). In return, the Client agrees to pay GEOVIA the non- refundable, non-reimbursable professional services fees (the “Service Fees”) in the amounts, at the milestones and payment schedule set out in the relevant SOW on the terms set out in this Agreement. The Client further agrees that it shall be responsible for the payment of any testing and/or certification fees in connection with the Services listed in the relevant SOW, and identified to the Client by GEOVIA in the SOW.1.2 GEOVIA will render all Services provided under this Agreement and any SOW in a professional and workmanlike manner.
