This Confidentiality and Nondisclosure Agreement (“Agreement”) is made and effective as of this day of 2018, by and between (“Recipient”) and Värde Partners, Inc. and its affiliates (“Värde”). In order to promote discussions with respect to a possible business relationship or transaction involving the parties (the “Purpose”), Värde is prepared to furnish Recipient with certain information which is confidential, proprietary or otherwise not generally available to the public.
