This sample agreement is drafted under English law as a starting point for use where a supplier company wants to appoint a distributor to sell the supplier company's products in a particular country or territory. It is drafted so that the distributor buys the products from the supplier company for onward sale (as opposed to an agency arrangement where the agent sells the products to end customers on behalf of the supplier company). Within the EU, distribution agreements can raise competition law issues depending on the supplier company's share of the market in which it supplies products, the distributor's share of the market in which it buys those products, and the terms of the distribution agreement.
