The undersigned (the “Purchaser”) hereby irrevocably subscribes for and agrees to purchase the number of Class A Special Shares of the Corporation set forth below (the “Shares”) for the aggregate consideration set forth below (the “Purchase Price”), upon and subject to the terms and conditions set forth in the “Terms and Conditions of Subscription for Class A Special Shares of MOREX Capital Corp.”, which are attached hereto and which, together with Schedules A, B, C, D and E and this cover page, form the entirety of this agreement (the “Subscription Agreement”), which the Purchaser confirms having read and understood.
