THIS ASSET PURCHASE AGREEMENT (this “Agreement”) is made and entered into as of the 8th day of February, 2022, by and among (i) Healthy Choice Markets 3, LLC, a Florida limited liability company (“Buyer”), (ii) Mother Earth’s Storehouse Inc., a New York corporation (“Seller”), and (iii) Christopher Schneider and Kevin Schneider, each an individual resident of the State of New York (the “Shareholders”).
