License and Services Agreement (“First Amendment”), dated as of June , 2022, is entered into by and between Subject Technologies, Inc., a Delaware corporation with its principal place of business at 407 N. Maple Drive, Ste Ground 1, Beverly Hills, CA 90210 (“Subject”), and Norwalk-La Mirada Unified School District, an educational institution with its main campus located at 12820 Pioneer Blvd., Norwalk, CA 90650 (“School”). Subject and School are sometimes referred to herein as the “Parties” or each as a “Party.”
