THIS ESCROW AGREEMENT, dated , 2011 (this “Escrow Agreement”), is made by and among the HARBOR DEPARTMENT OF THE CITY OF LOS ANGELES, a Department of the City of Los Angeles (the “Department”), U.S. BANK NATIONAL ASSOCIATION, a national banking association, as trustee under the hereinafter defined 2011 Indenture (the “Trustee”) and as escrow agent hereunder (the “Escrow Agent”).
