THIS STOCK PURCHASE AGREEMENT (this “Agreement”) is entered into as of May 14, 2024, by and between HF Sinclair Corporation, a Delaware corporation (the “Company”), on the one hand, and REH Company (the “Selling Stockholder”), on the other hand.
