THIS STOCK PURCHASE AGREEMENT (the “Agreement”) is made and entered into as of July 26, 2024 by and among Lateralus Holdings IV, LLC, a Delaware limited liability company (the “Purchaser”), the parties listed on Exhibit A attached hereto (each, a “Seller” and collectively, the “Sellers”), and, solely with respect to Sections 1.4(d) and 6 below, Divergent Technologies, Inc., a Delaware corporation (the “Company”).
