COVENANTS (as supplemented and amended from time to time, this “Regulatory Agreement”) is made and entered into as of [ 1], 2017, by and among the CITY OF SAN JOSÉ, CALIFORNIA, a municipal corporation and charter city organized and existing under its charter and the laws of the State of California (together with any successor to its rights, duties and obligations, the “Issuer”), U.S. BANK NATIONAL ASSOCIATION, a national banking association organized and existing under the laws of the United States of America, as fiscal agent for the Senior Issuer Notes and as trustee for the Junior Bonds, as defined herein (collectively the “Fiscal Agent/Trustee”), and BURNHAM VDG VENTURE LP, a California limited partnership (together with any successor to its rights, duties and obligations hereunder and as owner of the Project identified herein, the “Owner”).
