This Settlement Agreement and Release (“Agreement”) is made and entered into this 20th day of July, 2021, by and among: (1) Thomas Wilson of 12 Hampton Knolls Road, Holyoke, Hampden County, Massachusetts 02040 (“Wilson”), for himself and on behalf of the Settlement Class, and (2) Berkshire Bank (“Berkshire”) (Wilson and Berkshire are sometimes collectively referred to herein as “the Parties”), subject to preliminary and final Court approval as required by Rule 23 of the Massachusetts Rules of Civil Procedure (“Rule 23”). As provided herein, Berkshire, Class Counsel, and Wilson hereby stipulate and agree that, in consideration of the promises and covenants set forth in this Agreement and upon entry by the Court of a Final Order and Judgment, all claims of Wilson and the Settlement Class against Berkshire shall be settled and compromised upon the terms and conditions contained herein.
