MYLAN GENERAL CONDITIONS OF PURCHASE1. SCOPEThe following General Conditions of Purchase (“GCoP”) shall apply exclusively for orders of goods and/or services placed by Mylan (as herehinafter defined). If Mylan and Supplier (as hereinafter defined) have reached written agreements with regard to the conditions of purchase prior to the date of these GCoP and to the extent that such agreements differ from these GCoP, the validity of such agreements will remain unaffected. 2. DEFINITIONSIn these GCoP: (a) “Mylan” shall mean the contracting Mylan legal entity (including, where relevant, its affiliates) identified in the Purchase Order; (b) “Supplier” shall mean the contracting person or legal entity (including, where relevant, its affiliates) identified in the Purchase Order; (c) “Agreement” shall mean the binding contract formed by these signed GCoP and the Purchase Order issued by Mylan; (d) "Goods" shall mean both tangible and intangible goods, including software and related documentation
