THIS INVESTORS’ RIGHTS AGREEMENT (this “Agreement”), is made and entered into by all parties to this Agreement as of the date set forth on the Signature Page herein but is effective as of November 8, 2022, (the “Effective Date”) by and among FlipInvestor, Inc., a Wyoming corporation (the “Company”), each holder of the Series A Preferred Stock, $0.001 par value per share, of the Company (the “Series A Preferred Stockholder” or “Investor(s)”) listed on Schedule A (together with any transferees of any such Series A Preferred Stockholder), who become parties hereto as Series A Preferred Stockholders pursuant to Section 7.1 below, those certain founding stockholders (the “Founders”) of the Company listed on Schedule B (together with any subsequent transferees of the Founders, who become parties hereto).
