WHEREAS JMI, as the owner of Music Crossroads: name and concept, has decided to outsource the operational parts of the Music Crossroads Program, in Southern Africa and in any other world region developed hereinafter, to MCI. To do so and specifically to supervise MCI’s management and compliance to JMI objectives, the Parties agree to regulate the said ownership and outsource, rights and responsibilities as well as any eventual license fees, in a form of exclusive right of usage through a mutual license agreement;
