THIS AGREEMENT (hereinafter the "Agreement") dated (the "Effective Date”) is between the City of Bend, an Oregon Municipal corporation, (“City”), and CityView, a division of N. Harris Computer Corporation, an Ontario Corporation and wholly owned subsidiary of Constellation Software, Inc., with its place of business at 4464 Markham Street, Suite 2307, Victoria, BC, V8Z 7X8 ("Vendor"). The City and the Vendor are sometimes hereinafter individually referred to as "Party" and hereinafter collectively referred to as the "Parties."
