made by and among the CITY OF LONG BEACH, CALIFORNIA, a municipal corporation, acting by and through its BOARD OF HARBOR COMMISSIONERS (the “Issuer”), U.S. BANK NATIONAL ASSOCIATION, a national banking association organized and existing under the laws of the United States of America, as fiscal agent pursuant to the Eleventh Supplemental Resolution (as hereinafter defined) (the “Fiscal Agent”), and U.S. BANK NATIONAL ASSOCIATION, a national banking association organized and existing under the laws of the United States of America, as escrow agent (the “Escrow Agent”).
