WHEREAS, the Parking Authority of the Town of Morristown (“Authority”) and Schuyler Place Associates, LLC (“SPA”) had previously executed an agreement for parking for tenants of a residential development located at 16-18 Schuyler Place, Morristown on January 24, 2017 (“Agreement”), which Agreement was approved by the Board of Commissioners of the Authority by Resolution No. 15-2017 on January 17, 2017, and which has since been amended on two occasions; and
