Assignor hereby assigns and transfers to Assignee all of Assignor’s right, title and interest in, and Assignor’s interest as the sole member of (collectively, the “Interest”), CWCLA Properties LLC, a California limited liability company (the “Company”) established under that certain Operating Agreement for the Company effective as of April 5, 2017 (the “Agreement”). The assignment is made as a charitable contribution to Assignee to faclitiate Assignee’s charitable operations as a supporting organization for Assignor.
