This Settlement Agreement and Release (“Agreement”) is made and entered into this 15th day of April, 2019, by and among (1) Plaintiffs T.S. Kao, Inc. d/b/a Lucky 7 Chinese Food, The Dinner Bell Café, Inc., Bill’s Pizza Palm Springs, and Bill’s Grill 1, LLC, for themselves and on behalf of the Settlement Class, and (2) North American Bancard, LLC, subject to Court approval as required by Rule 23 of the Federal Rules of Civil Procedure. The Parties hereby agree that, in consideration of the promises and covenants set forth in this Agreement and upon entry by the Court of a Final Order and Judgment after Approval and payment of the Settlement Amount, all claims of the Settlement Class against Defendants in the action titled T.S. Kao, Inc. d/b/a Lucky 7 Chinese Food, et al. v. North American Bancard, LLC and Global Payments Direct, Inc., N.D.
