This Master Subscription Agreement (this “Agreement”) is entered into effective as of Effective Date (the “Effective Date”) by and between Yext Sàrl having a registered address at c/o Genint SA, rue Jean-Calvin 12, 1204 Geneva, Switzerland (“Yext”) and Account Name (“Client”) having an address at Billing Address. Yext and Client are each referred to herein as a “Party,” and collectively as the “Parties.” An entity which (i) controls, (ii) is controlled by, or (iii) is under common control with Client or Yext is referred to herein as an “Affiliate” of such Party. An entity will be deemed to “control” another entity if it has the power to direct or cause direction of the management or policies of such entity, whether through the ownership or voting securities, by contract, or otherwise. A Client or an Affiliate of Client may enter into a Subscription Schedule (as defined below), or a Statement of Work (as defined below), by signing such a document with Yext or with one of Yext’s Affiliat
