THIS THIRD AMENDMENT dated as of April 21, 2005 (the "Amendment") relating to the Credit Agreement referenced below, is by and among NATIONSRENT COMPANIES, INC., a Delaware corporation (formerly known as NR HOLDINGS, INC.)
