This Agreement (“Agreement”) shall be deemed effective as of November 1, 2015 (the “Effective Date”), between Talk America Services, LLC (“Talk America”), a limited liability company organized under the laws of the State of Delaware, with offices at 10802 Executive Center Drive, Benton Building, Suite 300, Little Rock, AR 72211 and Verizon Pennsylvania LLC (“Verizon”), a limited liability company organized under the laws of the State of Delaware with offices at 1717 Arch Street, Philadelphia, PA 19103 (Verizon and Talk America may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
