H. Belo Corporation, a Delaware corporation (“AHC”). RECITALS WHEREAS, BLC and AHC entered into a Separation and Distribution Agreement, dated as of February 8, 2008 (the “Distribution Agreement”), pursuant to which the businesses of AHC and its subsidiaries were separated from the businesses of BLC and its other subsidiaries in a corporate spin-off effective February 8, 2008; WHEREAS, at the time of the spin-off, BLC retained sponsorship of The G. B.
