be willing to manage the Hotel for Owner, subject to the terms set forth in the letter attached hereto, including the negotiation, execution and delivery of the Operating Agreement and any other required Definitive Agreements and the approval of the Board of Directors or duly authorized executive committee of MARRIOTT, which may be withheld in its sole and absolute discretion. All capitalized terms used, but not defined, in this Hotel Operating Agreement Term Sheet shall have the meanings assigned to such terms in the letter attached hereto or in the Residential Agreements Term Sheet attached to such letter.
