This Amended, Extended and Restated Agreement (“Agreement”) shall be deemed effective as of February 3, 2012 (the “Effective Date”), between QuantumShift Communications, Inc. (“QuantumShift”), a corporation organized under the laws of the State of California, with offices at 12657 Alcosta Boulevard, Suite 418, San Ramon, CA 94583 and Verizon New England Inc., d/b/a Verizon Massachusetts (“Verizon”), a corporation organized under the laws of the State of New York with offices at 125 High Street - Oliver Tower, 7th Floor, Boston, MA 02110 (Verizon and QuantumShift may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
