THIS STOCK PURCHASE AGREEMENT (including all Schedules and Exhibits hereto and, as it may be from time to time amended, the “Agreement”) is made and entered into as of August 11, 2015, by and among: INTELIUS HOLDINGS, INC., a Delaware corporation (“Purchaser”); UNITED ONLINE, INC., a Delaware corporation (“Seller Parent”); and CLASSMATES MEDIA CORPORATION, a Delaware corporation and wholly-owned subsidiary of Seller Parent (“Seller”).
