In connection with the proposed business combination (the “Transaction”) between InterPrivate Acquisition Corp., a Delaware corporation (the “Company”), and Aeva, Inc., a Delaware corporation (“Aeva”), the undersigned subscriber (being referred to sometimes herein as the “Subscriber”) desires to subscribe for and purchase from the Company, and the Company desires to sell to the undersigned, that number of shares of the Company’s common stock, par value $0.0001 per share (the “Common Stock”), set forth on the signature page hereof for a purchase price of $11.50 per share (the “Per Share Price” and the aggregate of such Per Share Price for all Shares subscribed for by the undersigned being referred to herein as the “Purchase Price”), on the terms and subject to the conditions contained herein. In connection therewith, the undersigned and the Company agree as follows:

In connection with the proposed business combination (the “Transaction”) between InterPrivate Acquisition Corp., a Delaware corporation (the “Company”), and Aeva, Inc., a Delaware corporation (“Aeva”), the undersigned subscriber (being referred to sometimes herein as the “Subscriber”) desires to subscribe for and purchase from the Company, and the Company desires to sell to the undersigned, that number of shares of the Company’s common stock, par value $0.0001 per share (the “Common Stock”), equal to: (a) the aggregate subscription price set forth on the signature page hereof (the “Purchase Price”), divided by (b) a per share price equal to the lower of: (i) $16.00 per share and (ii) the volume-weighted-average price of the shares of the Company with NYSE ticker “IPV” for the ten trading days ended December 31, 2020 (inclusive) based on data reported by The New York Stock Exchange (“NYSE”) (the “10-day VWAP”), provided that such 10-day VWAP shall not be lower than $10.00 per share for
