WHEREAS, Assignor and the City are parties to that certain Food and Beverage Concession Agreement dated as of January 29, 2009, as amended by that certain First Amendment to Food and Beverage Concession Agreement dated March 22, 2011, as modified by that certain Addendum to First Amendment to Food and Beverage Concession Agreement dated November 3, 2011, and as further amended by that certain Second Amendment to Food and Beverage Concession Agreement dated November 15, 2011 (together with the Third Amendment, as defined below, collectively, the “Concession Agreement”), pursuant to which the City has granted to Assignor the right to operate certain concessions at the Norman Y. Mineta San Jose International Airport;
