This Economic Development Agreement (the “Agreement”) is entered into by and between JMK5 Sears, LLC, a Texas limited liability company, JMK5 Mall of the Mainland, LLC, a Texas limited liability company, JMK5 Racing LLC, a Texas limited liability company, JMK5 Movies LLC, a Texas limited liability company (collective ly “JMK5”) and the Texas City Economic Development Corporation, a Texas economic development corporation established pursuant to the Texas Local Government Code, § 504 (“EDC”). JMK5 and the EDC are sometimes referred to herein jointly as the “Parties” and each individually as a “Party.”
