THIS LIM ITED PARTNERSHIP AGREEMENT is amended and restated as of the date and year first written above by and among Family Management Corporation, a New York corporation (the “General Partner”), and each of the investors who executes a Limited Partner Signature Page (each, a “Limited Partner” or collectively hereinafter referred to as “Limited Partners”) to form a limited partnership (the “Partnership”) pursuant to the Delaware Revised Uniform Limited Partnership Act, 6 Del. C. §17-101 et seep (the “Partnership Act”), which shall be governed by and operated pursuant to the terms and provisions hereinafter set forth. The term “Partner” or “Partners”, when used in this Agreement without qualification by the words “General” or “Limited” shall be deemed to include both the General Partner and the Limited Partners. The amount of each Partner’s initial contributions of cash or Securities to the Partnership (hereinafter referred to as “Capital Contributions”) is set forth with respect to eac
