WHEREAS, the Consultant co-founded the Company and has been employed by the Company as Chief Technical Officer since its founding and has unique technical knowledge of the Company’s technology and intellectual property; and WHEREAS, the Company wishes the Consultant to continue to perform services to the Company, and the Consultant wishes to continue to perform services to the Company. NOW, THEREFORE, in consideration of the mutual promises herein contained, the parties agree as follows: 1. Definitions.
