AGREEMENT (this “Agreement”) is entered into as of this day of May, 2015, and amends and restates in its entirety that Real Estate Purchase and Sale Agreement dated the 24th day of July, 2014 (the “Effective Date”), by and between the Port of Seattle, a municipal corporation of the State of Washington (“Port”) and the City of Woodinville, a municipal corporation of the State of Washington (“City”), acting in its governmental capacity. The Port and the City are hereinafter sometimes referred to jointly as the “Parties”.
