In consideration for the mutual promises and covenants contained herein, Momentum Ventures, LLC, a Colorado limited liability company (d/b/a BuyQ) (“BuyQ”), acting as group purchasing agent for charter schools, and [INSERT VENDOR NAME/ENTITY TYPE AND LOCATION OF ORGANIZATION], (“Vendor”) hereby enter into this agreement (the “Agreement”), as of the effective date set forth above (the “Effective Date”), for the supply of products as provided herein. As used herein, to the extent applicable, and including specifically, but without limitation, with respect to Section 1 and Section 5 hereof, the term “Vendor” shall also be deemed to refer to and include other divisions of Vendor and any other related affiliates, subsidiaries, and parent companies of Vendor who sell the same or similar Products (as defined below) as Vendor.
