(“COMLADE” or “Licensor”), a Mexican sociedad anónima de capital variable having a principal place of business at Calzada Lázaro Cárdenas No. 185, Parque Industrial Lagunero, Gómez Palacio, Durango, México 35077, on the one hand, and Borden Dairy Company, a Delaware corporation having a principal place of business at 8750 North Central Expressway, Suite 400, Dallas, Texas 75231 (“Borden” or “Licensee”), on the other hand.
