AGREEMENT (this “Agreement”) is made and entered into as of , 2017 (the “Effective Date”) by and between CEFIA Holdings LLC, a Connecticut limited liability company (“Seller”), and the City of Middletown, Connecticut, a municipal corporation organized and existing under the laws of the State of Connecticut (“Purchaser”). Each of Seller and Purchaser are sometimes referred to as a “Party” and collectively as the “Parties.”
