THIS CONSULTING AGREEMENT (the “Agreement”) is made and entered into effective as of June 1, 2018 (the “Commencement Date”) by and between YETI Coolers, LLC, a Delaware limited liability company (“YETI”), and Richard J. Shields (the “Consultant”). YETI desires to retain Consultant as an independent contractor as of the Commencement Date to perform consulting services for YETI on the terms and conditions set forth herein (the “Consultancy”).
