THIS FINANCIAL AGREEMENT (hereinafter "Agreement" or "Financial Agreement"), made this day of , 2017, by and between GP ASHLAND URBAN RENEWAL, L.L.C. ("GP Ashland" or the "Urban Renewal Entity"), a limited liability company of the State of Delaware, qualified to do business in the State of New Jersey in accordance with the provisions of the Long Term Tax Exemption Law of 1992, as amended and supplemented, N.J.S.A. 40A:20-1 et seq. (the "Exemption Law"), with offices at c/o Prism Green Associates IV, LLC, 200 Broadacres Drive, Suite 180, Bloomfield, New Jersey 07003, along with its permitted successors and/or assigns, and THE TOWNSHIP OF WEST ORANGE, a municipal corporation in the County of Essex and the State of New Jersey (the "Township", and together with the Urban Renewal Entity, the "Parties").
