THIS PURCHASE AND SALE AGREEMENT dated February 23, 2011, is made by and between J. CLEO THOMPSON & JAMES CLEO THOMPSON, JR., L.P., a Texas limited partnership (“Thompson LP”) and WES-TEX DRILLING COMPANY, L.P., a Texas limited partnership (“Wes-Tex”; Thompson LP and Wes-Tex are sometimes each individually referred to herein as a “Seller Party”, and collectively as “Seller”), and APPROACH OIL & GAS INC., a Delaware corporation (“Buyer”).
