A stock purchase agreement may take several different forms. The principal distinction between the different forms is which party (e.g., the corporation or the other stockholders) will have the right or obligation to purchase a stockholder’s stock upon the occurrence of a triggering event. As discussed in the Introduction, the triggering event in a stock purchase agreement might be the stockholder’s death, disability, or some other occurrence specified in the agreement.
