The unilateral non-disclosure agreement, also called a one-way NDA, is an agreement between two (2) parties where a first party (the company) owns the information exclusively and releases it to other parties (the recipient). The recipient, by signing the document, agrees to protect the confidential information entered into them and prevent it from entering the hands of a third party. They must also agree not to use the confidential information for their own benefit. Mutual non-disclosure – also called a two-way NDA , is used if two parties share information among themselves with the requirement that they both maintain their privacy.
