This Data Processing Agreement, including its schedules and appendices ("DPA") is entered into as of the Effective Date (as defined below), by PartnerTap and the party entering into the Agreement with PartnerTap that refers to this DPA ("Customer"). This DPA forms part of the agreement between PartnerTap and Customer governing the contractual relationship between PartnerTap and Customer (the "Agreement"). In the course of the Agreement, PartnerTap may process (as defined below) personal data (as defined below) on behalf of Customer. This DPA sets out the terms that apply when personal data of the Customer is processed by PartnerTap under the Agreement, and PartnerTap and Customer shall comply with the terms of this DPA with respect to any processing of personal data of Customer under the Agreement. In the event of a conflict between the terms and conditions of this DPA and the Agreement, the terms and conditions of this DPA shall supersede and take precedence.
