Chuck, of 20361 Penhollow Lane, Bend, Oregon 97702 (“Licensor”) and Tour Striker-TGA, LLC, (“Licensee”) a Colorado company, with offices at 1130 Garden Street, Suite A, San Luis Obispo, California 93401. Whereas, Licensee has requested that Licensor grant License an exclusive license under (i) Licensee’s pending U.S. patent application directed to a Golf teaching tool and (ii) Licensee’s “TOUR STRIKER” marks and registration application. Whereas, Licensor is willing to grant such a license under terms and conditions as set forth herein; NOW, THEREFORE, the parties agree as follows: ARTICLE ONE – DEFINITIONS
