This GROUND LEASE AGREEMENT ("Agreement") is made this 4th day of October, 2022 ("Commencement Date"), between the CITY OF LARAMIE, a municipal corporation organized under the laws of the State of Wyoming, with its principal offices located at 406 Ivinson Avenue, Laramie, Wyoming 82070, hereinafter designated "LESSOR" or "City", and UNION PACIFIC RAILROAD COMPANY, a Delaware corporation, with its principal offices located at 1400 Douglas Street, Mail Stop 1690, Omaha, Nebraska 68179, hereinafter designated as "LESSEE". LESSOR and LESSEE are at times collectively referred to hereinafter as the "Parties" or individually as a "Party".
