This AMENDMENT #1 (“Amendment #1”) is entered into as of August ___, 2012 (“Amendment Date”) by and between CPT Holdings, Inc. (“Licensor”), and StarHub Cable Vision Ltd. (“Licensee”), and amends the VOD License Agreement, dated as of August 25, 2011 (the “Original Agreement”). Licensor and Licensee hereby agree as follows:
