You hereby agree that all information provided will be used solely for the purpose of a possible acquisition of the Company or a portion of its assets, and that such information will be kept confidential by you and your authorized representatives. You, nor your officers, directors, employees and/or advisors will disclose to any person the discussions or negotiations concerning a possible investment/acquisition of the Company. It is understood that disclosure of information to competitors, suppliers, employees, customers or any other person could be extremely adverse to the Company. You further agree and will direct and cause your representatives to not initiate or have contact with any officer, director, or employee of the Company regarding the Company’s business, operations, products, or finances, without the expressed permission of G&C. In the event that you or your agents, employees and/or representatives circumvent or attempt to circumvent G&C by dealing directly or indirectly with
