AGREEMENT AND PLAN OF MERGER (the “Agreement”), dated as of April 5, 2010 by and between GF-CSCI Acquisition Corp., a Delaware corporation (“GetFugu Sub”), and wholly-owned subsidiary of GetFugu, Inc, a Nevada corporation (“GetFugu Parent”), and Cellular Software Corporation (the “Target”), a Delaware corporation. In this Agreement, GetFugu Sub and Target are collectively referred to as the “Merger Parties”.
