We refer to the Rule 144A Deposit Agreement, dated as of October 15, 1993 as amended as of November 4, 2002 (as amended from time to time, the "Deposit Agreement"), among BNP Paribas (the "Company"), JPMorgan Chase Bank, N.A. as successor Depositary, and Owners and Beneficial Owners of Rule 144A American Depositary Receipts (the "Receipts") issued thereunder. Capitalized terms used but not defined herein shall have the meanings given them in the Deposit Agreement.
