This Agreement Of Limited Partnership (“Agreement”) is entered into and shall be effective as of the First day of August, 2008, among L.A. - 8700 Properties, Inc., A California Corporation as the General Partner and all those other persons (individually referred to as “Limited Partner” and collectively referred to as “Limited Partners”) who are parties to this Agreement by executing a copy of the Counterpart Signature Page and such other documents as may be specified by the General Partner and who are accepted as Limited Partners by the General Partner. The General Partner and the Limited Partners may collectively be referred to as “Partners” or individually as “Partner”.
