This Agreement, including Amendment No. 1 (TRO Amendment) hereto (“Agreement”) shall be deemed effective as of June 21, 2006 (the “Effective Date”), between Kentucky Data Link, Inc. (“KDL”), a corporation organized under the laws of the Commonwealth of Kentucky, with offices at 3701 Communications Way, Evansville, IN 47715 and Verizon Pennsylvania Inc. (“Verizon”), a corporation organized under the laws of the Commonwealth of Pennsylvania with offices at 1717 Arch Street, Philadelphia, PA 19103 (Verizon and KDL may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
